Definitions

  • “Company” (also “we”, “us”, or “our”) refers to MedSim.AI.
  • “Service” refers to MedSim.AI, accessible at https://www.medsim.ai, including all related websites, applications, features, and content.
  • “User” (also “you” or “your”) refers to any individual or entity that accesses or uses the Service.

1. Acceptance of Terms

By accessing or using the Service in any way, you agree to be bound by these Terms of Service (“Terms”). No signature or other formality is required. If you do not agree to these Terms, you must not access or use the Service.

The Company reserves the right to modify these Terms at any time, with or without notice. Modifications are effective when posted. Your continued use of the Service after any modification constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

2. Service Description

The Service is an online educational platform. The Service may include, without limitation: interactive simulated clinical encounters, artificial-intelligence-generated conversational content, voice input and audio output features, automated and rubric-based assessment and feedback, progress tracking, gamification features (including points, streaks, badges, mastery indicators, and leaderboards), and related educational content and tools.

The Company reserves the right to modify, suspend, or discontinue any aspect of the Service — including any feature, content, or subscription tier — at any time, with or without notice, and without liability to you. The Company does not guarantee availability, uptime, or any specific functionality.

3. Eligibility, Accounts, and Responsibilities

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including any multi-factor authentication methods you enroll, and for all activity that occurs under your account. You must provide accurate, current, and complete information when creating an account and keep it updated. The Company has no obligation to verify the identity of any User and may reclaim usernames at its discretion.

You must notify the Company promptly at [email protected] of any unauthorized use of your account. The Company is not liable for any loss arising from unauthorized use of your account.

4. Acceptable Use Policy

You agree not to, and not to assist or permit any third party to:

  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • submit any real patient information, protected health information, or other personal data about identifiable third parties into any part of the Service, including free-text and voice inputs (see Section 7);
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, prompts, or underlying components of the Service;
  • scrape, harvest, or extract data or content from the Service, or access the Service by automated means (bots, crawlers, scripts) without the Company’s prior written permission;
  • circumvent, disable, or interfere with security features, rate limits, usage limits, or subscription-tier restrictions of the Service;
  • share, resell, sublicense, or otherwise make your account or any paid feature available to any third party;
  • interfere with or disrupt the Service, its servers, or its networks, or transmit malware, viruses, or other harmful code;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • infringe the intellectual property, privacy, or other rights of any third party;
  • harass, abuse, threaten, or harm any other person; or
  • use the Service, or any output of the Service, to develop a competing product or to train or evaluate a competing artificial intelligence system.

The Company may investigate suspected violations and cooperate with law enforcement.

5. Intellectual Property; User Submissions

All content, software, code, design, simulated cases, assessment rubrics, text, graphics, logos, and trademarks comprising or made available through the Service are the property of the Company or its licensors and are protected by intellectual property laws. You receive only a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational use, subject to these Terms. All rights not expressly granted are reserved.

User Submissions. The Service allows you to submit content, including free-text messages, spoken input, and free-text answers (“User Submissions”). You grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, analyze, and create derivative works from your User Submissions for purposes including operating, securing, improving, and developing the Service. You represent and warrant that you have all rights necessary to grant this license and that your User Submissions do not violate any law or third-party right.

6. Payment Terms

Certain features of the Service require a paid subscription. By purchasing a subscription you agree to the following:

  • Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled. You must cancel before the renewal date to avoid being charged for the next period.
  • Cancellation. You may cancel at any time through the Service. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
  • No refunds. All fees are non-refundable except where expressly required by applicable law. No refunds or credits are provided for partial billing periods, unused time, or downgrades. Any refund outside a legal requirement is at the Company’s sole discretion.
  • Payment processing. Payments are processed by a third-party payment processor. The Company does not store your full payment card details.
  • Price changes. The Company may change subscription pricing at any time. Price changes apply from your next renewal after notice is given.
  • Taxes. You are responsible for all applicable taxes, duties, and similar charges.
  • Non-payment. The Company may suspend or downgrade your access immediately for non-payment or failed payment.
  • Free tier. Any free tier or free features are provided as-is, may be limited (including by usage caps), and may be modified or withdrawn at any time.

7. Educational Use Only; No Medical Advice

THE SERVICE IS AN EDUCATIONAL AND TRAINING TOOL ONLY. THE SERVICE, INCLUDING ALL SIMULATED PATIENTS, SIMULATED CLINICAL SCENARIOS, ASSESSMENTS, FEEDBACK, AND OTHER CONTENT, DOES NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT, AND MUST NOT BE USED TO MAKE DECISIONS ABOUT THE CARE OF ANY REAL PATIENT. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT, ACCREDITED CLINICAL TRAINING, OR SUPERVISION BY QUALIFIED PRACTITIONERS.

All patients, clinical findings, and case details presented in the Service are fictional and generated for training purposes. The Company makes no representation that any simulated scenario, assessment, or score reflects, predicts, or certifies your competence, licensure eligibility, or performance on any examination.

No real patient data. You must not enter, upload, dictate, or otherwise submit into the Service any information about real, identifiable patients, including protected health information as defined under applicable health-privacy laws. The Service is not designed or offered to receive such information, and the Company is not a covered entity or business associate under such laws with respect to the Service. Any such submission is a material breach of these Terms, and you bear sole responsibility for it.

8. AI Features

The Service uses artificial intelligence to generate content, conversations, assessments, and analysis (“AI Output”).

AI OUTPUT IS PROVIDED “AS IS” AND MAY BE INACCURATE, INCOMPLETE, OUTDATED, OR MISLEADING, INCLUDING WITH RESPECT TO CLINICAL AND SCIENTIFIC CONTENT. THE COMPANY MAKES NO WARRANTIES REGARDING AI OUTPUT AND DISCLAIMS ALL LIABILITY ARISING FROM RELIANCE ON IT.

AI Output does not constitute professional advice of any kind (medical, legal, financial, or otherwise). You are solely responsible for critically reviewing AI Output before relying on or distributing it. Your inputs to AI-powered features, including text and transcribed voice input, may be processed by third-party AI providers as described in the Privacy Policy. The Company does not guarantee that AI Output is unique, non-infringing, or fit for any particular purpose, and identical or similar AI Output may be generated for other Users.

9. Termination

The Company may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation any breach of these Terms. You may terminate by discontinuing use of the Service and requesting deletion of your account by contacting [email protected].

Upon termination, your license to use the Service ceases immediately. Termination does not entitle you to any refund.

Survival. All provisions that by their nature should survive termination shall survive, including without limitation: intellectual property provisions, User Submission licenses, warranty disclaimers, limitation of liability, indemnification, and dispute resolution and arbitration provisions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, UNINTERRUPTED OR ERROR-FREE OPERATION, SECURITY, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT ANY RESULTS, SCORES, ASSESSMENTS, OR FEEDBACK OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE COMPANY OR THROUGH THE SERVICE, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • USE OF OR INABILITY TO USE THE SERVICE;
  • ANY RELIANCE ON ANY CONTENT, ASSESSMENT, OR AI OUTPUT PROVIDED THROUGH THE SERVICE;
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR PERSONAL INFORMATION;
  • ANY INTERRUPTION OR CESSATION OF THE SERVICE;
  • ANY BUGS, VIRUSES, OR SIMILAR ISSUES TRANSMITTED THROUGH THE SERVICE;
  • ANY ERRORS OR OMISSIONS IN ANY CONTENT; OR
  • ANY THIRD-PARTY CONDUCT ON THE SERVICE.

THE TOTAL AGGREGATE LIABILITY OF THE COMPANY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED US DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT PAID BY THE USER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THE COMPANY’S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • your use of the Service;
  • your violation of these Terms, including any submission of real patient information in breach of Section 7;
  • your violation of any third-party right, including intellectual property or privacy rights; or
  • any content you submit or transmit through the Service.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

  • Mandatory binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except as provided below.
  • Class action waiver. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims.
  • Rules and venue. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) in Phoenix, Arizona, unless the parties agree otherwise or AAA rules require a different locale. Each party bears its own costs; filing fees are allocated per AAA rules.
  • Small claims exception. Either party may bring a qualifying individual claim in small claims court.
  • Injunctive relief exception. The Company may seek injunctive or other equitable relief in any court of competent jurisdiction for actual or threatened infringement of intellectual property rights or unauthorized access to the Service.
  • 30-day opt-out. You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first using the Service, stating your name, the email associated with your account, and your intent to opt out.

14. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law provisions. For any action not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Arizona, United States.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings. The Company’s failure to enforce any right or provision is not a waiver of that or any other right or provision. No waiver is effective unless in writing and signed by the Company.

17. Force Majeure

The Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, epidemics, strikes, third-party service or infrastructure failures, or internet or power outages.

18. Privacy Policy

The Company’s Privacy Policy, available on the Service, describes how personal information is collected, used, and shared, and is incorporated into these Terms by reference.

19. Contact

Questions about these Terms may be directed to [email protected].
